NTOSKRNL.EXE problems, makes my hear go up. I hate that problem. But I dont know what is the right solution. There are couple different solutions, and it depends of the source of the error, what solution is right. Bad part is if there is some kind infection or corruption like Miscellaneous corruption or Missing or corrupt ntoskrnl.exe file, or corruption is maybe on the hard disk. But it also happens that some file are missing. That is the best scenario, because you can always try to repair system or to go to system restore. But if it doesnt work there is always formatting. If is the corruption the source of the problem, you can try to fix it with options on yours WinXp installation CD.
